A new consolidation is taking shape in Luxembourg’s independent wealth management sector.

Probus Pleion Luxembourg S.A., a member of the Swiss group Probus Pleion, has signed an agreement to merge with Patrimundi 1869 S.A., an independent wealth manager based at 35, rue Notre-Dame, Luxembourg. Patrimundi 1869 will be integrated into Probus Pleion Luxembourg S.A. by way of a merger by absorption. The financial terms of the transaction have not been disclosed.

The transaction remains subject to approval by the Commission de Surveillance du Secteur Financier (CSSF). Completion is expected by the end of Q4 2026.

Patrimundi 1869 obtained its investment firm licence from the CSSF in November 2015. Wholly owned by its founding partner, the firm offers private clients discretionary management, advisory and wealth structuring services, as well as family office services. It specialises in fund selection and global asset allocation.

Its Managing Partner, Alain Crefcoeur, has over thirty years of experience in private banking. Having worked in Brussels, Geneva and Basel, he returned to Luxembourg in 2011 to focus on developing Patrimundi 1869. Mr Crefcoeur will join the Board of Directors of Probus Pleion Luxembourg.

Probus Pleion Luxembourg has its roots in BCB & Partners, founded in 2001 by three Swiss financial experts. The company extended its offering to include family office services in the mid-2010s, before being acquired by the Probus Pleion group in 2023 and adopting its current name in 2024. It is led by Clément Gauthier, CEO and Managing Director, and chaired by Patrick Héritier.

Probus Pleion Luxembourg’s team will thus grow to 17 employees.

A financial centre in consolidation

For Probus Pleion Luxembourg, the transaction is part of the wider consolidation of wealth management PSFs in Luxembourg. Faced with rising regulatory requirements, smaller structures struggle to independently finance control and support functions.

The combination will bring compliance, investment management and key middle- and back-office functions together within a single entity. Probus Pleion Luxembourg already has an Investment Office backed by a number of independent research institutes, as well as a proprietary IT infrastructure that consolidates multi-custodian portfolios and ensures daily risk monitoring.

The stated objective is to offer relationship managers a comprehensive and fully functional ecosystem, with operational redundancy for every key position. They will thus have the tools and support they need to advise their clients and grow their business across Europe.

For clients, the model remains unchanged: assets stay deposited with leading custodian banks, and each client keeps their usual point of contact. Clients will also benefit from a larger team and new skills. Increasingly complex needs, from wealth transfer to international mobility, call for firms able to bring several areas of expertise together under one roof.

Continuity and independence

“This growth transaction will further strengthen Probus Pleion Luxembourg’s ability to offer its current and future clients an excellent wealth management service,” says Clément Gauthier, CEO of Probus Pleion Luxembourg. “We are taking part in the consolidation of the financial centre while remaining faithful to what defines us: independence, trust and a tailored service.”

“This merger reflects our determination to keep growing while preserving the values that have driven Patrimundi 1869’s success: independence, close client relationships and a commitment to quality. Being backed by an international group will allow us to strengthen our offering and our resources, while ensuring continuity in the trusted relationships we share with our clients,” says Alain Crefcoeur, Managing Partner of Patrimundi 1869.

Both firms share the same culture: a human-scale structure, conviction-based investment management and long-term relationships with the families they serve.
